These Terms of Service ("Terms") govern your access to and use of the Verificer Enterprise Management AI Agent System ("Verificer", "the System", "we", "our", or "us"), including our website, mobile applications, AI-powered enterprise tools, and all related services, integrations, and platforms. By accessing or using Verificer, you agree to be bound by these Terms and acknowledge that they form a legally binding agreement between you and Verificer Sdn Bhd.

If you do not agree to these Terms, you must discontinue use of the System immediately.

2. Acceptance of Terms

By accessing or using Verificer, you confirm that you have read, understood, and agreed to these Terms. You also acknowledge that your use of the System may be subject to additional policies, including our Privacy Policy, Data Processing Agreement, Cookie Policy, and any platform-specific requirements imposed by third-party providers such as Facebook, Google, Apple, and Microsoft.

If you are using Verificer on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Description of Services

Verificer provides an AI-powered enterprise management system designed to automate and enhance business operations, including but not limited to:

  • HR and payroll automation
  • Attendance and workforce management
  • Document verification and compliance checks
  • Enterprise workflow automation
  • AI-driven insights and decision support
  • Integration with third-party platforms such as Facebook Login, Google Workspace, Microsoft 365, ERP/CRM/HRMS systems, and other enterprise tools

The System may evolve over time, and Verificer reserves the right to modify, enhance, or discontinue any part of the services at its discretion.

4. User Accounts and Authentication

To access certain features, you may be required to create an account or authenticate through third-party platforms such as Facebook Login, Google Sign-In, or Microsoft authentication services. You agree to provide accurate, complete, and up-to-date information during registration and to maintain the confidentiality of your login credentials.

You are responsible for all activities conducted under your account. Verificer is not liable for any unauthorized access resulting from your failure to secure your credentials.

5. Authorized Use of the System

You agree to use Verificer only for lawful purposes and in accordance with these Terms. You shall not:

  • Use the System to engage in fraudulent, harmful, or illegal activities
  • Attempt to gain unauthorized access to any part of the System
  • Interfere with or disrupt system operations, servers, or networks
  • Reverse engineer, decompile, or attempt to extract source code
  • Use automated tools to scrape, harvest, or collect data without permission
  • Upload malicious code, viruses, or harmful content
  • Violate any applicable laws, regulations, or third-party platform policies

Verificer reserves the right to suspend or terminate your access if you violate these Terms.

6. AI Processing and Automated Decisions

Verificer uses artificial intelligence to automate enterprise workflows, including payroll calculations, HR compliance validation, document verification, and operational decision-making. You acknowledge and agree that:

  • AI outputs are generated based on the data you provide
  • AI decisions may require human review for critical matters
  • Verificer is not responsible for errors arising from inaccurate or incomplete data
  • You retain full responsibility for final business decisions made using AI outputs

Verificer provides AI assistance but does not replace professional judgment or regulatory compliance obligations.

7. Third-Party Integrations

Verificer integrates with external platforms such as Facebook, Google, Apple, Microsoft, ERP systems, and payment gateways. By enabling these integrations, you authorize Verificer to access and process data made available through those platforms.

You acknowledge that:

  • Third-party platforms may impose their own terms and policies
  • Verificer is not responsible for the actions or data practices of third-party providers
  • You must comply with all applicable third-party terms when using integrated features

If a third-party provider restricts or terminates access, Verificer may be required to modify or discontinue related features.

8. Data Protection and Privacy

Your use of Verificer is governed by our Privacy Policy, which explains how we collect, use, store, and protect personal and enterprise data. By using the System, you consent to the processing of your data in accordance with the Privacy Policy.

Verificer complies with the Personal Data Protection Act 2010 (PDPA Malaysia), relevant international standards, and platform-specific requirements such as Facebook Platform Terms, Google API Services User Data Policy, and Apple App Store Privacy Guidelines.

9. Intellectual Property Rights

All content, software, algorithms, AI models, trademarks, logos, and materials within Verificer are the exclusive property of Verificer Sdn Bhd or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the System solely for authorized business purposes.

You may not reproduce, distribute, modify, or create derivative works from any part of the System without prior written consent from Verificer.

10. Fees and Payment

Certain features of Verificer may require payment. You agree to pay all applicable fees in accordance with the pricing structure provided. Verificer reserves the right to modify pricing, introduce new fees, or update billing terms with reasonable notice.

Failure to pay fees may result in suspension or termination of your access to the System.

11. Service Availability and Disclaimer

Verificer strives to maintain continuous availability of the System but does not guarantee uninterrupted or error-free operation. The System is provided on an "as-is" and "as-available" basis.

To the fullest extent permitted by law, Verificer disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

To the maximum extent permitted by law, Verificer shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, revenue, or business opportunities
  • Data loss or corruption
  • Errors arising from inaccurate or incomplete user data
  • Damages caused by third-party integrations or external platforms

Your sole remedy for dissatisfaction with the System is to discontinue use.

13. Indemnification

You agree to indemnify and hold harmless Verificer Sdn Bhd, its directors, employees, partners, and affiliates from any claims, damages, liabilities, or expenses arising from:

  • Your use of the System
  • Your violation of these Terms
  • Your breach of third-party platform policies
  • Your misuse of AI-generated outputs

14. Termination

Verificer may suspend or terminate your access to the System at any time if:

  • You violate these Terms
  • You engage in harmful or unlawful activities
  • Required by law or regulatory authorities
  • Third-party providers restrict access to integrated services

Upon termination, your right to use the System ceases immediately.

15. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of Malaysia. Any disputes arising from these Terms shall be resolved in Malaysian courts with appropriate jurisdiction.

16. Changes to These Terms

Verificer may update these Terms periodically. Updated versions will be published on our website with a revised "Last Updated" date. Continued use of the System after updates constitutes acceptance of the revised Terms.
